Terms of Service

These Terms of Service ("Terms") govern your use of TaskDrive (the "Service"), operated by TaskDrive. By creating an account or using the Service, you agree to these Terms.

1. Accounts

You must provide accurate, current information when registering. You are responsible for safeguarding your account credentials and for all activity under your account. You must be at least 18 years old to use the Service.

2. The Service

TaskDrive is an autonomous software engineering service that processes Linear tickets and produces pull requests. We grant you a limited, non-exclusive, revocable license to use the Service subject to these Terms. Availability is not guaranteed; the Service is provided on an "as is" basis as described in Section 7.

3. Referral Program & Credits

Each account receives a unique referral code. When a new user signs up using your referral link and becomes a paying customer, both you and the referred user may receive account credit as described on the Service (currently a flat amount per successful referral). The following terms apply to all referral credits:

• Nature of credits. Referral credits are promotional. They are applied as a negative balance to your Stripe customer account and reduce the amount due on future invoices. Credits are issued and held in the sole discretion of TaskDrive.
• No cash value. Credits have no cash value. They are not currency, are not a deposit, and may not be redeemed, exchanged, or withdrawn for cash, cryptocurrency, or any other form of payment under any circumstances.
• Non-transferable. Credits are tied to your account and Stripe customer. They may not be sold, assigned, gifted, or transferred to any other person or account.
• No payout on cancellation. If your account is closed, cancelled, suspended, or otherwise terminated — voluntarily or involuntarily — any unused, banked, or pending referral credits are immediately forfeited. TaskDrive has no obligation to pay, refund, or otherwise settle the value of forfeited credits. Credits do not accrue interest.
• Stripe balance. When applied, credits post to your Stripe customer balance and are consumed automatically against future invoices. A credit balance left on a cancelled subscription remains dormant on the Stripe customer; it is not separately refundable and TaskDrive is not liable for its value.
• Self-referral & abuse prohibited. Referring yourself, creating accounts to generate credits, or otherwise manipulating the program is prohibited. TaskDrive may void credits, suspend accounts, or terminate access for abuse, fraud, or suspected fraud.
• Program changes. TaskDrive may modify, suspend, or end the Referral Program, or change the credit amount, at any time. Changes do not entitle you to any payout or alternative compensation for credits.

4. Acceptable Use

You agree not to misuse the Service, including by reverse-engineering it, attempting to access systems you are not authorized to access, introducing malicious code, using the Service to develop malware, or violating any law. You are responsible for the repositories and content you connect to the Service.

5. Fees & Billing

Paid plans are billed via Stripe. Fees are described on the Service. Subscription fees are non-refundable except where required by law. We may change fees with reasonable notice; price changes take effect at the start of your next billing cycle following notice.

6. Intellectual Property

We retain all rights to the Service. Code and output your runners produce in your repositories belong to you, subject to your own repository licensing. You grant us the limited right to access and process your repositories and integrations solely to operate the Service for you.

7. Disclaimers; Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind. To the maximum extent permitted by law, TaskDrive and its operators shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, data, or code, arising out of or related to the Service. Our aggregate liability is limited to the amount you paid us in the twelve (12) months preceding the claim.

8. Termination

You may close your account at any time. We may suspend or terminate access for violation of these Terms. Upon termination, all referral credits are forfeited (see Section 3), and provisions that by their nature should survive — including Sections 3, 6, and 7 — remain in effect.

9. Changes to These Terms

We may update these Terms. Material changes will be posted here with an updated date; continued use after changes take effect constitutes acceptance.
